- Custom software, web, and application development
- Hosting and infrastructure services
- Technical consulting and assessments
Scope, deliverables, and timelines will be defined in written agreements, proposals, or statements of work (SOWs).
3. Client Responsibilities
You agree to:
- Provide accurate and complete information required for service delivery
- Maintain secure access credentials and notify us of unauthorized access
- Comply with all applicable laws and regulations
- Maintain backups of critical data unless backup services are explicitly included
- Not use our services for unlawful, harmful, or abusive purposes
4. Acceptable Use
You may not use CMHWorks services to:
- Violate any laws or regulations
- Distribute malware, ransomware, or harmful code
- Engage in unauthorized access or hacking activities
- Transmit spam or fraudulent communications
- Infringe upon intellectual property rights
We reserve the right to suspend or terminate services for violations.
5. Fees and Payment
- Fees will be defined in your agreement or proposal
- Payment terms (e.g., Net 15/30) must be followed
- Late payments may result in:
- Service suspension
- Late fees or interest
- All fees are non-refundable unless otherwise stated
6. Intellectual Property
6.1 CMHWorks Property
All tools, methodologies, systems, and pre-existing intellectual property remain the exclusive property of CMHWorks.
6.2 Client Deliverables
Upon full payment:
- Clients receive rights to agreed deliverables
- Ownership terms will be defined in the applicable agreement
6.3 Third-Party Components
Solutions may include third-party software subject to their own licenses.
7. Data and Security
7.1 Client Data
- Clients retain ownership of their data
- CMHWorks processes data solely to provide services
7.2 Security
We implement industry-standard safeguards, but:
No system can be guaranteed 100% secure.
Clients are responsible for:
- Internal policies
- User access control
- Compliance requirements unless explicitly contracted
8. Confidentiality
Both parties agree to protect confidential information, including:
- Business processes
- Technical data
- Client systems and credentials
Confidentiality obligations survive termination.
9. Service Availability
- We strive for high availability but do not guarantee uninterrupted service
- Maintenance, updates, and external factors may cause downtime
- SLAs apply only if explicitly agreed in writing
10. Third-Party Services
We may rely on third-party providers. CMHWorks is not responsible for:
- Third-party downtime or outages
- Security breaches outside our control
- Changes in third-party services
11. Limitation of Liability
To the fullest extent permitted by law:
- CMHWorks shall not be liable for indirect, incidental, or consequential damages
- Loss of data, revenue, or profits
- Business interruption
Total liability shall not exceed the amount paid for services in the preceding 12 months.

You agree to indemnify and hold harmless CMHWorks from any claims, damages, or liabilities arising from:
- Your use of services
- Violation of these terms
- Misuse of systems or data
13. Term and Termination

Services continue as defined in your agreement.

- Immediately for breach of contract

- Outstanding fees become due

We disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
15. Compliance with Laws
You are responsible for ensuring your use of CMHWorks services complies with:
- Applicable data protection laws
- Industry-specific regulations unless explicitly included in scope
16. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia.
17. Dispute Resolution
- Attempted to be resolved in good faith
- If unresolved, handled in courts located in Virginia

Continued use constitutes acceptance.
